
Members
The cornerstone of the Academy are its members. All natural
persons who take an active interest in the mission and fulfillment
of Academy of Bosnia and Herzegovina and who demonstrate commitment
to fulfilling the mission and objectives of the Academy may
become members of the Academy upon: (a) completing an application
form, and (b) paying the annual membership dues that is to be
set by the simple majority vote of the full board. Based on
majority vote Finance Committee will have the right to waive
membership fee requirements when such action is deemed appropriate.
Academy members have an opportunity to build lifetime
relationships and network with colleagues and others involved
in their respective fields of work. Through Academy membership,
members discover a mechanism for idea exchanges among members
worldwide, as well as opportunities to actively engage in conceptualization,
design and implementation of programs under the auspice of the
Academy. All members have the opportunity to have their work
considered for publication or featured at our website or in
our upcoming newsletter. Association and contribution to the
work and initiatives of the Academy provide exceptional personal
and career growth advantages for all of its members. Finally,
all members will receive invitations to member-only events,
such as Members Reception held every year the evening before
the annual meetings schedule for the first week of December.
Members have the right to join and head a specific
existing Focus Group by requesting a membership from the Focus
Group Coordinator who makes the decision based on the need of
the Focus Group and applicant’s qualifications. Focus
groups are established to network people of common interests,
and are defined as a network of professionals and an outlet
for application and exchange of skills and knowledge for the
purpose of furthering the objectives of the Academy. Focus Groups
have one or more Program Managers and Focus Group Coordinators.
Personnel and Membership Committee appoint Program Managers,
and Focus Group Coordinators.
Members have the right to propose a new Focus Group
to be founded by the Programs Committee. To propose a new Focus
Group, members need to define an objective of the Focus Group,
short term and long-term goals, proposed activities and a list
of preliminary members with their qualifications and responsibilities.
Programs Committee have the right to deny or approve based on
clearly established criteria, if no conflict with the mission
or activities of another existing Focus Group exists, and provided
that in the judgment of Programs Committee members have sufficient
qualifications to pursue the future work of their proposed Focus
Group.
Members shall have the right to active participation
in one or more programs relevant to their expertise and commitments
and in line with the mission and objective. Finally, all members
have the right to submit their candidacy for service at the
elected offices of the Academy.
Board of Directors
The Board of Directors has the control and management of the
affairs and business of the Academy. The Board appoints Committees
for any purpose, and empowers Executive Committee to exercise
any of the authority of the Board. The management and affairs
of the Academy shall be at all times under the direction of
a Board of Directors, whose operations in governing the Academy
are defined by Articles of Incorporation and by these By-Laws
as well as by applicable policies approved by the Board of Directors.
The Board of Directors reviews operating and financial statements,
reports and meeting minutes and reviews Executive and Committee
actions and assures that policies adopted by the Board of Directors
are being followed. The Board of Directors serves an advisory
function along with the members of the Advisory Board when operational
or administrative decisions are in the planning stage so as
to contribute to Academy’s efficient operation.
The Board of Directors of the Academy shall consist
initially of five (5) permanent voting Directors. Up to ten
(10) additional non-permanent voting Directors, a total of fifteen
shall be elected (15). The term in office of each of non-permanent
director shall be one year or until the next annual meeting
and the election and qualification of his or her successor.
Directors may be elected for more then one term.
To be considered for an elected office candidate must be in
compliance with requirements outlined below:
· have attained the age of twenty-one years, and have
attained recognized and to the Academy’s mission relevant
professional, civic, or academic attainments, and/or:
· have been educated and received an academic degree
in a discipline relevant to the mission of the Academy in a
manner satisfactory to the Personnel and Membership Committee,
and
· have had experience for at least two years in responsible
work which demands a knowledge of respective fields or its application
as shall satisfy the and Committee, and
· have satisfied the Committee that the candidate possesses
an equivalent knowledge of substantive area(s) of Academy’s
activities and cognate subjects, and
· have demonstrated exceptional capacity and active interest
in the work of Academy, and who is in the judgment of the board
are determined to fulfilling the mission and objectives of the
Academy and discharge their duties with professionalism, commitment
and diligence.
Corporate Officers
Day to day responsibility is left to corporate officers under
policy leadership of Board of Directors. President of the Board
of Directors, Secretary, Treasurer and Chairperson of Finance
Committee.
Standing Committees
All Committees’ Member and Chairpersons of the Academy
are appointed by the Board of Directors and their term of office
shall be for a period of one year or less if sooner terminated
by the action of the Board of Directors. The Board creates Committees
as needed by simple majority vote. All Members have the right
to be considered to become members of any Committee. Board of
Directors appoints all Committee Chairpersons. Committee Chairpersons
can only be selected from the Board of Directors. The permanent
Committees are: Executive, Personnel and Membership, Programs,
and Finance Committees.
Executive Director
Academy shall have an Executive Director appointed as needed
by the majority vote of the Board of Directors for the term
of one year. Executive Director may be appointed for more than
one term. The Executive Director shall be responsible for coordinating
and supervising day to day administration of the Academy, and
do so in accordance with policies of the Board of Directors
and directives of any standing Committee of the Academy. Executive
Director is responsible to provide facts and information constantly
to the Board of Directors, enabling them to make required judgments
and decisions regarding Academy’s operation.
Member of the Advisory Board
Members of the Advisory Board are selected by the majority vote
of the Board and by invitation only. All natural persons who
demonstrate exceptional capacity and take an active interest
in the work of Academy of Bosnia and Herzegovina as stated in
Article II may be inducted as a member of the Academy’s
Advisory Board. Members of Advisory Board shall have an opportunity
to propose an include action items and resolutions for consideration
and adoption by the Board of Directors that they see to be beneficial
for the work of the Academy.
Members of the Board of Patrons
Members of the Board of Patrons are selected by the majority
vote of the Board and by invitation only. All natural persons
who take an active interest in the work of Academy of Bosnia
and Herzegovina and who demonstrate commitment to fulfilling
the mission and objectives of the Academy as stated in Article
II or who contribute resources or expertise may be inducted
as a member of the Academy’s Board of Patrons.
Honorary Fellows
Distinguished persons intimately connected with Bosnia and Herzegovina
whom the majority of the full Board of Directors of the Academy
especially desires to honor for exceptionally important services
in line with the mission and objective as defined in Article
II, and any distinguished person whom the Academy may desire
to honor for service to the Academy or whose association therewith
is of benefit to the Academy, shall be eligible to become Honorary
Fellows of the Academy.
Fellows
Every candidate for election to the class of Fellow of the Academy
shall normally have attained the age of twenty-one years and,
in the opinion of the majority of the Personnel and Membership
Committee, have made a significant contribution to the mission
of the Academy as shall make it desirable that he/she be a Fellow
of the Academy.
Supporters
Supporters are defined as individuals and institutions that
have expressed their support for the mission, objectives and
work of the Academy but fall short of qualifying as active members.
Supporters will have the ability to share their views and provide,
support, advice, and guidance to active members and program
administrators, as well as to participate in focus groups relating
to future programs of the corporation. Supporters will not have
the privilege to take active roll in any of the corporation’s
programs.
